COMMISSION TIER MAINTENANCE AND RESET FOR THE FOLLOWING YEAR
This policy sets out the starting Commission Tier applicable to the Partner in the subsequent financial year, based on the Partner’s referral performance in the immediately preceding year.

The Starting Commission Tier (Base Tier) for the following financial year shall be determined as the highest Commission Tier achieved by the Partner in the preceding year.

- The Base Tier is determined based on either (i) the total number of successful contracts (i.e., number of new clients acquired) corresponding to the applicable commission tier achieved in the previous year; or (ii) the total annual revenue contribution equivalent to at least 300 million VND in the preceding year.

- Application of the Starting Tier: This Commission rate shall apply from the first contract of the subsequent year and continue to increase progressively in accordance with the Progressive Commission Policy. In the event that the Partner fails to achieve the minimum annual revenue of 300 million VND or fails to maintain the number of contracts corresponding to the applicable commission tier, the Commission Tier shall be adjusted downward in accordance with the number of contracts achieved in the preceding year.


Illustrative Examples
Case 1: Maintaining and Increasing of Commission Tier
- 2025: The Partner officially collaborates with Mahata and successfully refers 07 contracts. The final contract in 2025 reaches a Commission Tier of 12% (Tier 2). Total revenue generated in 2025 is VND 320 million VND.

- 2026: The starting Commission Tier will be 14% (Tier 3, applicable to 08–12 contracts/year) from the first contract in 2026 (i.e., the 8th cumulative contract). This rate will continue to increase to 16%, 18%, etc., as the Partner reaches subsequent contract thresholds.

Case 2: Maintenance of Commission Tier
2025: The Partner maintains a 10% commission rate. During the period from 01/01/2025 to 31/12/2025, the Partner successfully refers 02 contracts (Tier 1: 01–03 contracts), with a total revenue of 400 million VND.

- 2026: The Starting Commission Level remains at 10% from the first contract and continues in accordance with the previous year’s tier, as the minimum annual revenue requirement (300 million VND) is exceeded.

Case 3: Downgrade of Commission Tier

- 2024: The Partner successfully refers 21 contracts (Tier 5), with the final contract achieving an 18% commission rate. Total revenue reaches 350 million VND.

- 2025: The Starting Commission Level continues at 18% (Tier 5 – applicable for 21–30 contracts/year) from the first contract (i.e., the 22nd cumulative contract). The rate increases progressively as thresholds are met. By year-end, the Partner refers 05 contracts (cumulative contract number 26), maintaining Tier 5 (18%), but total revenue is only 280 million VND → below the minimum threshold of 300 million VND, and 05 contracts correspond to Tier 2.

- 2026: The Starting Commission Level is reduced from 18% to 12% (Tier 2 – applicable for 04–07 contracts) from the first contract (i.e., the 6th cumulative contract carried forward).

Refferal Policy For New Clients
The Partner is entitled to a commission for introducing any Organization or Individual who subsequently becomes a Partner of Mahata through such referral. This commission is calculated as a percentage (%) of the service fees under contracts executed by the new Partner (excluding VAT).

Referral commissions for introducing a new Partner shall be paid to the referring Partner for a period of one (01) year from the date of the first contract signed by the new Partner.

Revenue generated by the new Partner shall not be aggregated for the purpose of calculating performance or exceeding bonuses for the referring Partner.

It also enhances the client experience, safeguards information confidentiality, and ensures clear reconciliation and payment procedures between Mahata and its Partners.

Receiving Client Information
Both parties coordinate to clarify actual requirements. The Partner provides initial client information for Mahata to prepare a service approach.
Client Consultation
Mahata directly consults and collects initial client information. The Partner may join the session (if needed) to ensure alignment.
Scope Alignment
Mahata and the Client agree on service type, scope, timeline, and fees. The Partner is updated (excluding sensitive client data) to monitor progress.
Service Agreement Execution
Mahata executes the contract directly with the Client. The Partner is notified once the contract becomes effective.
Service Delivery
Mahata works directly with the Client throughout implementation. The Partner is not required to handle technical work but may support as a liaison if needed.
Reconciliation & Payment
Upon client payment, Mahata reconciles with the Partner in accordance with the agreed policy. Payments are made transparently and on time.

- The partnership is non-exclusive. Partners may:
   + Collaborate with other service providers (law, finance, accounting, etc.);
   + Freely decide which partner is most suitable for each client.

- Mahata expects that Partners:
   + Do not use Mahata’s internal information, documents, pricing, or processes for unfair competition;
   + Do not harm Mahata’s reputation when introducing other service providers.
10. “If I partner with multiple firms (accounting, legal, finance), does Mahata require exclusivity? Can I refer clients to other firms?“
- Mahata respects and values all clients referred by Partners.

- However, to maintain professional standards, Mahata selectively accepts clients who:
   + Require structured and transparent accounting/financial services;
   + Are willing to pay appropriately for professional services;
   + Comply with applicable laws, including tax obligations.

- If a client does not meet these criteria, Mahata may decline or limit support to the initial consultation and will inform the Partner.

- For qualified clients who proceed to contract signing, Mahata commits to transparent and timely commission payments and continued collaboration opportunities.
9. “Are there cases where Mahata may decline clients referred by Partners?”
1. If the Partner is involved in initiating the additional services:
    - Commission: 5% of the additional contract value.
    - For recurring (monthly) contracts: commission is paid for 06 consecutive months from the effective date.
    - These additional contracts are not counted toward quarterly bonus targets and are not treated as new contracts for other incentive schemes.

2. If the client independently engages Mahata for additional services:
No commission will be applied to the Partner for such additional services.
8. “What if additional services arise beyond the initial contract scope for a client I referred?“
If the client has been registered by the Partner and confirmed by Mahata as the Partner’s lead:
- Within the committed commission period (e.g., 06 months from the effective date of the first contract), any new service contracts signed with that client will still be recognized as originating from the Partner’s lead for commission purposes.

- This applies regardless of the channel through which the client re-engages (website, fanpage, hotline, events, etc.).

- After the commission period expires, new contracts with the client will no longer automatically qualify for commission, unless otherwise agreed.
7. "If a client I referred later approaches Mahata through other channels (e.g., website, fanpage), will I still receive commission?"
- Partners may use the Mahata logo and the title “Mahata Partner” on websites, fanpages, profiles, and business cards.

- Such use is non-exclusive, limited, and solely for indicating the partnership relationship; it must not imply affiliation as a subsidiary, joint venture, or legal representative of Mahata.

- Partners may not modify the logo (colors, proportions, typography, etc.) without authorization.

- Mahata will provide a brand guideline (official logo and basic usage guidelines), which Partners are required to follow.
6. “Am I allowed to use the Mahata logo and represent myself as a “Mahata Partner”? Are there any branding guidelines?”
- Mahata reserves the right to amend and update the Partner and commission policies.
   + Any changes will be notified in advance via email or written notice (e.g., at least 30 days prior to the effective date).
   + For contracts/leads already introduced and confirmed before the new policy takes effect:
      *The existing policy continues to apply throughout the committed commission period.

- The new policy applies only to newly registered leads and contracts signed after the effective date.
5. “Can Mahata amend this policy at any time? If so, will changes apply to contracts I previously referred?”
For active service contracts signed with clients referred by the Partner:
- Mahata will continue to pay commissions in accordance with the agreed rate and committed commission period.
4. "If I stop cooperating or the partnership is terminated, how are commissions for ongoing contracts handled?"
Mahata applies the “first-registered lead” principle:
- The Partner who submits the client information first and receives written confirmation from Mahata will be officially recognized.
3. “If multiple Partners refer the same client, how is the official commission recipient determined?”
Commission is calculated based on the actual service fees received after discounts, excluding VAT and any pass-through or government fees (if any).
2. “If Mahata offers discounts to close a deal, is my commission calculated before or after the discount?”
Client leads submitted by the Partner will be recorded and reserved for 06 months from the date Mahata confirms receipt in writing (email/system).

Total actual amount received by Mahata from clients referred by the Partner (excluding unpaid amounts and VAT), and excluding VAT. Revenue serves as the basis for calculating the Partner’s bonus, commissions, and remuneration.
Minimum Revenue
Minimum revenue required to qualify for quarterly/yearly bonuses.
Achieved and Exceeding Revenue Bonus
Achieved Revenue Bonus: Bonus calculated as a percentage of the minimum revenue tier.

Exceeding Revenue Bonus: Bonus calculated as a percentage of revenue exceeding the minimum threshold.

4. Services & Remuneration

Services
Services: One or multiple services provided by Mahata to Clients.

Contract: Includes both recurring service contracts and one-time contracts.

Remuneration
Commensurate with the work performed by the Partner, the Company agrees to compensate the Partner in the following forms (collectively referred to as the “Remuneration”):
Commission per signed contract executed with clients.

Achieved/exceeding revenue bonuses when the Partner’s revenue meets or exceeds the applicable targets from time to time.

Referral commission for introducing new Partners to Mahata.
Important Note
The above definitions shall be applied consistently throughout this Agreement and the Partner Policy. Mahata reserves the right to amend these provisions in line with its business strategy from time to time, with prior notice to clients.
